Terms of service

1. Acceptance of terms
By accessing or using Parlance (“the Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
These terms constitute a legally binding agreement between you and the pace, the company that operates Parlance. We may update these terms from time to time — we will notify you by email of material changes.
2. Description of service
Parlance is a design-to-development contract platform. It allows teams to create, validate, and manage component contracts — agreements between design and development that define how components should be built, validated against W3C standards.
The Service includes a web platform, API, and integrations with third-party tools (Figma, VS Code, GitHub, Slack, and others). Features vary by subscription plan.
3. User accounts and responsibilities
You are responsible for maintaining the security of your account credentials. You must not share your credentials or allow others to access the Service through your account.
You are responsible for all activity that occurs under your account. Notify us immediately at legal@parlance.business if you suspect unauthorised access.
You must provide accurate information when creating your account and keep it up to date.
4. Acceptable use
You agree not to:
- Scrape, crawl, or systematically extract data from the Service
- Use the Service to transmit malware, spam, or illegal content
- Attempt to gain unauthorised access to any part of the Service or its infrastructure
- Use the Service in a way that violates applicable laws or regulations
- Abuse the API in ways that degrade performance for other users
- Reverse engineer or attempt to extract source code from the Service
We reserve the right to suspend or terminate accounts that violate these terms.
5. Intellectual property
Your data. You retain full ownership of all data you create using the Service — contracts, glossary terms, audit results, project settings, and any other content. We do not claim any rights over your data.
The platform. Parlance, its design, code, features, and documentation are owned by the pace. You may not copy, modify, distribute, or create derivative works from the platform without our written permission.
Feedback. If you provide feedback or suggestions, we may use them to improve the Service without obligation to you.
6. Payment terms
Pricing. Pricing is seat-based. Only Creators are counted as paid seats — Collaborators and Viewers are always free. Current pricing is listed at parlance.business/pricing.
Billing cycles. Subscriptions are billed monthly or annually, as selected at signup. Annual plans are paid upfront for 12 months.
Refunds. Monthly plans: no refunds for partial months. Annual plans: pro-rated refunds are available within 30 days of the annual billing date. Contact us at legal@parlance.business.
Payment processing. Payments are processed by Stripe. By providing payment information, you agree to Stripe's terms of service.
7. Service availability
We aim to maintain high availability of the Service but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where possible.
Free tier and Pro plan users use the Service on a best-effort basis with no uptime SLA. Team plan users receive a 99.5% monthly uptime SLA. Organisation plan users receive a custom SLA as agreed in writing.
8. Limitation of liability
To the fullest extent permitted by applicable law, the pace shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, loss of revenue, or business interruption.
Our total liability to you for any claim arising under these terms shall not exceed the amount you paid to us in the 12 months preceding the claim.
9. Termination
By you. You may terminate your account at any time from your account settings. Termination takes effect at the end of the current billing period.
By us. We may terminate or suspend your access for violation of these terms, non-payment, or at our discretion with 30 days' notice.
Data export. After termination, you have 30 days to export your data via the API or dashboard export tools. After this period, your data will be deleted in accordance with our Privacy Policy.
10. Governing law
These terms are governed by the laws of Malta, European Union. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Malta, without prejudice to your rights as a consumer under applicable EU consumer protection law.
